Corporations, Partnerships, L.L.C.s and other EntitiesBusiness Organization, Maintenance and Counseling We have over 35 years of legal experience in organizing, maintaining and counseling business clients. We serve as general, outside counsel to a number of local, national and international businesses that provide a variety of goods and services. Mr. Higgs has served on the boards of directors of several corporations and other legal entities, both nonprofit and for-profit. We have extensive experience in legal issues concerning corporate management, finance and personnel. Most business and commercial representation, except for our Registered Agent services, is handled on an hourly fee basis. Registered Agent Services The firm serves as Registered Agent for dozens of its corporate clients, usually on an annual fixed fee basis. Our Registered Agent services include serving as Registered Agent for the business entity, coordinating the annual licensing requirements for our business clients, and preparing annual minutes for corporate stockholders' and directors' meetings (and for LLCs, minutes for members and managers). Minutes may also be coordinated and prepared by the firm for special-purpose meetings. Other Legal Entities Comparable legal services are also provided for other types of legal entities, including sole proprietorships; general partnerships; limited partnerships (LPs); limited liability partnerships (LLPs); limited liability companies (LLCs); professional entities such as professional corporations (PCs) professional limited liability companies (PLCs or PLLCs); as well as for non-stock and non-profit organizations. Choice of Entities and Business Registration In conjunction with your accountant or other tax professional, we can assist you with choosing an appropriate legal entity for your business, creating the entity, then registering the entity to transact business in Virginia. The Commonwealth of Virginia publishes a "Business Registration Guide" to help new business owners through that process, which is reproduced below in its entirety. The Guide answers, in layman's terms, many of the frequently asked questions concerning business entities and the registration process.
